These Terms of Service ("Terms") are an agreement between you and Ordren ("Ordren", "we", "us") for your access to and use of the Ordren sourcing research service. By creating an account or using the service, you agree to these Terms.
Read this first · Section 21
Section 21 requires most disputes to be resolved by binding individual arbitration and waives jury trials and class actions; you can opt out as described there.
1. The service
Ordren lets you describe a sourcing or hiring need in plain language, confirm a specification of requirements, and run research that finds candidate suppliers or people, reads their publicly available pages, and checks each requirement against quoted evidence. The service includes the requirements matrix, fit tiers, the shortlist and its questions, comparisons, the decision brief, the in-app assistant, share links, exports, and related features described in your account and at checkout.
The service is under active development. Features may be added, changed, or removed over time. If a change materially reduces the core functionality of the service, we will tell you in advance where reasonably possible.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use Ordren. If you use the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" means both you and that organization.
Ordren is offered only to customers located in the United States. You may not create or use an account from outside the United States, and we may block access from other locations. Searches can cover suppliers and people anywhere.
An account is for one person. You are responsible for your account credentials and for all activity that happens under your account. Notify us promptly at hello@ordren.io if you suspect unauthorized use. Information you provide must be accurate and kept up to date.
3. Your workspace
Every account has its own workspace. The workspace holds your projects, results, shortlists, comparisons, and credit balance, and its credit ledger records every grant, charge, and refund.
4. Free credits
New accounts receive 5 free credits, with no card required, so you can try the platform before buying credits. 5 credits cover one Standard run. The free credits are granted once per person and email address; an account created again with an address that already received them does not receive them a second time.
Free credits are promotional: they have no cash value, are non-transferable, and we may change the free allocation for new signups at any time. Abuse of the free tier (for example, creating multiple accounts to accumulate free credits) may result in suspension.
5. Purchases and billing
Credits are sold as one-off purchases, in packs (currently 50 credits for $49, 200 credits for $149, 500 credits for $349) or in an amount you choose, priced at the per-credit rate of the largest pack that amount reaches (the smallest pack's rate for amounts below it). There are no subscriptions and no recurring charges; a subscription started before we stopped offering them renews on its original terms until it is cancelled. The price of every purchase is shown at checkout before you pay.
Payments are processed by Stripe; we do not receive or store your card details. We may change prices at any time; changes do not affect credits you have already bought. Taxes may apply depending on your location. You agree not to dispute a charge with your card issuer for a purchase you made without first contacting us; if a charge is reversed, we may remove the credits it paid for.
6. Credits
Projects consume credits based on the depth of each run: a Standard run costs 5 credits and assesses up to 15 candidates, reading up to 3 pages of each; a Deep run costs 20 credits and assesses up to 35 candidates, reading up to 5 pages of each. Up to two free Standard refinements per project after any completed run, when you change the brief. Deep is always charged. A run that was refunded does not count as a completed run for this purpose.
When a run found more candidates than its depth assessed, you can choose to assess the remaining ones for an additional charge in proportion to their number. The app shows the credit cost of every run and every additional assessment before you confirm it, and nothing is charged until you do.
These rules also apply to runs paid for with free credits. Credits never expire, have no cash value, are non-transferable, and can be used only for the service. If you run out of credits, you can buy more at any time.
7. Refunds
If a completed run assesses fewer than 3 candidates, we refund the full credit cost of that run automatically. The refund appears as an entry in your credit ledger and is shown on the run's page. To prevent abuse, a workspace receives at most 3 automatic refunds per day; after that, further cases are held for manual review and we will decide them in good faith.
If a run is cancelled before any candidate was assessed, its credits are refunded.
Except as described in this section, in the Termination section, or where required by law, credit purchases are non-refundable. If you believe you were charged in error, contact hello@ordren.io and we will review it.
8. Acceptable use
You agree not to: (a) probe, disrupt, or overload the service or circumvent rate limits, location restrictions, or usage restrictions; (b) scrape or bulk-extract data from the service by any means outside the features we provide; (c) resell, sublicense, or redistribute the service or its outputs as a competing database or service; (d) reverse engineer the platform or its models; (e) submit unlawful content or use the service for unlawful purposes; (f) use the service or its outputs to send spam or unsolicited bulk messages, or to harass, stalk, or threaten anyone; (g) use information about a person for a purpose prohibited in the People results section; or (h) share one account between several people or organizations.
You are responsible for how you contact the suppliers and people you find, including compliance with the laws on commercial email, telemarketing, privacy, and employment that apply to you.
We may suspend or terminate accounts that violate this section, with notice where practicable.
9. AI-generated content
Fit tiers, requirement checks, explanations, assessments, briefs, assistant answers, and other outputs are generated by AI systems working over public web data and other sources. They can be incomplete, out of date, or wrong. A label such as Verified, Claimed, Unknown, Not met, or Excluded describes only what the pages we read appeared to say at the time we read them, measured against the requirements you set. It is not a statement of fact about a provider or a person, and it is not a rating of their quality, reliability, or lawfulness.
Outputs are provided for informational purposes only and are not professional, legal, financial, employment, or procurement advice. You are responsible for independently verifying any provider or person before entering into a relationship with them, and for all decisions you make based on the service.
10. People results
Ordren is not a consumer reporting agency, and nothing the service provides is a consumer report, as those terms are defined in the Fair Credit Reporting Act or similar state laws. The service does not run background checks and does not verify identity, credentials, or employment history.
People results are leads for you to contact and evaluate yourself. You may not use the service or its outputs as a factor in deciding a person's eligibility for employment, promotion, credit, insurance, housing, or any other purpose covered by those laws, or to make a decision about a person without your own independent evaluation.
You may use information about a person only to consider and contact them about a professional opportunity related to your project, in compliance with applicable law, including anti-discrimination law.
11. Third-party providers and public information
Ordren surfaces and evaluates third-party providers and people, but we are not a party to any transaction or relationship between you and them. We do not endorse, guarantee, or assume responsibility for any provider or person, their services, or their conduct. Any contract you enter with a provider or person is solely between you and them.
Results quote and link to pages published by third parties. Those pages, and the names, logos, and trademarks on them, belong to their owners; showing them does not imply any affiliation with or endorsement of Ordren. We do not control third-party sites and are not responsible for their content.
If you are a provider or person who appears in results and believe something is inaccurate or should be removed, email hello@ordren.io and we will review it.
12. Your content
You retain ownership of the prompts, briefs, and other content you submit. You grant us a limited license to host, process, and display that content to operate, secure, and improve the service, as described in the Privacy Policy. We do not use your content to train AI models. You represent that you have the right to submit your content and that it does not violate the law or anyone's rights.
If you send us feedback or suggestions, we may use them without restriction or compensation.
13. Our intellectual property
The service, including its software, models, design, branding, and documentation, is owned by us and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business or personal purposes while your account is in good standing. No other rights are granted.
14. Copyright complaints
If you believe material shown in the service infringes your copyright, email hello@ordren.io with: a description of the copyrighted work; the page address or other location of the material in the service; your name, address, telephone number, and email address; a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We will remove or disable material where appropriate and may terminate the accounts of repeat infringers.
15. Privacy
Our collection and use of personal data, and our handling of platform and provider data, are described in the Privacy Policy, which is part of these Terms.
16. Availability
We work to keep Ordren available and fast, but the service is provided without an uptime commitment. We may perform maintenance, apply limits to protect the platform, or modify infrastructure at any time. The service depends on third-party providers (hosting, search, AI models, payments), and their outages or changes can affect it.
17. Termination
You may stop using the service and delete your account at any time from your settings. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the service. Where we terminate an account without cause, we will refund the price you paid for any unused purchased credits.
Sections that by their nature should survive termination (including AI-generated content, people results, third-party providers, your content, our intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and the general terms) survive.
18. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDREN AND ITS OWNERS, OPERATORS, EMPLOYEES, CONTRACTORS, AND AGENTS (THE "ORDREN PARTIES") DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE.
Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ORDREN PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF TOLD THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE ORDREN PARTIES FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) $100.
These limits apply to every claim and every remedy, and they are a basis of the price of the service. Nothing in these Terms limits liability that cannot be limited under applicable law.
20. Indemnification
You will defend, indemnify, and hold harmless the Ordren parties from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the service in violation of these Terms or the law, your contact or dealings with any provider or person you found through the service, or any decision you make about them.
21. Dispute resolution and arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, AND IT WAIVES JURY TRIALS AND CLASS ACTIONS.
Informal resolution first. Before starting an arbitration or a court case, the party with a complaint must send the other a written notice that describes the claim and the outcome it wants: to us at hello@ordren.io, and to you at the email address on your account. Both parties will try in good faith to resolve the matter for 30 days after the notice is received. Any limitation period is paused during those 30 days.
Agreement to arbitrate. If the matter is not resolved, any dispute, claim, or controversy arising out of or relating to these Terms or the service, including one against any of the Ordren parties (a "Dispute"), will be resolved by binding arbitration administered by the American Arbitration Association under its rules that apply to the Dispute (its Consumer Arbitration Rules where they apply, and otherwise its Commercial Arbitration Rules). The Federal Arbitration Act governs this section. One arbitrator will decide the Dispute, including any question about the scope or enforceability of this section, except that only a court may decide whether the class waiver below is enforceable. The arbitrator may award the same individual relief a court could. The arbitration may be conducted remotely or on written submissions; an in-person hearing, if one is needed, will take place in the county where you live or another place both parties agree to. Fees are allocated as the applicable rules provide. Judgment on the award may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may ask a court for an injunction to stop infringement or misuse of its intellectual property.
CLASS WAIVER. YOU AND ORDREN MAY BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT COMBINE MORE THAN ONE PERSON'S CLAIMS OR AWARD RELIEF TO ANYONE OTHER THAN THE INDIVIDUAL PARTY. If a court decides that this waiver cannot be enforced for a particular claim or request for relief, such as a request for public injunctive relief, that claim or request will be decided in court after the arbitration of everything else, and the rest of this section stays in effect.
JURY WAIVER. TO THE EXTENT A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND ORDREN EACH WAIVE THE RIGHT TO A JURY TRIAL TO THE EXTENT PERMITTED BY LAW.
Your right to opt out. You may opt out of arbitration and the class waiver by emailing hello@ordren.io from the email address on your account, with the subject "Arbitration opt-out", within 30 days after you first accept Terms that contain this section. Opting out does not affect any other part of these Terms.
Time limit. To the extent permitted by law, a Dispute must be started within one year after the claim arose; otherwise it is permanently barred.
22. Governing law and venue
The laws of the State of California govern these Terms and any Dispute, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration section. A Dispute that is not subject to arbitration must be brought exclusively in the state or federal courts located in California, and you and Ordren consent to the jurisdiction of those courts.
23. Changes to these Terms
We may update these Terms as the service evolves. For material changes we will give notice (for example by email or an in-product message) before the changes take effect for you, and we may ask you to accept the new Terms to keep using the service. Otherwise, continued use of the service after the effective date constitutes acceptance. If you do not agree, stop using the service and delete your account.
If we change the arbitration section, you may reject that change by emailing hello@ordren.io within 30 days of the notice, in which case the arbitration section you last accepted continues to apply.
24. General
These Terms and the Privacy Policy are the entire agreement between you and Ordren about the service and replace any earlier agreement on the same subject. If a part of these Terms is found unenforceable, it will be enforced to the extent the law allows and the rest remains in effect. Our not enforcing a provision is not a waiver of it.
You may not assign or transfer these Terms without our written consent. We may assign them to a successor or an affiliate, or in connection with a merger, a reorganization, or a sale of the business or its assets. We are not responsible for a delay or failure caused by events beyond our reasonable control.
You agree that we may send you notices about the service electronically, to the email address on your account or inside the product, and that electronic notices satisfy any legal requirement that a communication be in writing.
If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting it in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
